Terms of Service

By accessing or using the services provided by SellersHQ (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and SellersHQ regarding your use of our Sales-as-a-Service platform and related services.

SellersHQ provides Sales-as-a-Service solutions, including but not limited to:

• Lead generation and prospecting
• Sales presentations and demonstrations
• Pipeline and CRM management
• Follow-up and lead nurturing
• Negotiation and deal closing
• Sales team training and management
• Upselling and account growth

The specific services provided to you will be outlined in a separate Service Agreement or Statement of Work.

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access
• Use our services in compliance with all applicable laws and regulations
• Provide necessary access to systems and information for service delivery
• Respond to our communications in a timely manner
• Pay all fees as agreed upon in your service agreement

Pricing: Our pricing models include monthly retainers, sales force leasing, and performance-based commissions as outlined in your Service Agreement.

Payment Terms: Unless otherwise agreed, payments are due within 30 days of invoice date. Late payments may incur interest charges and service suspension.

Refunds: Refund policies will be outlined in your specific Service Agreement. Generally, services already rendered are non-refundable.

Our IP: All content, materials, methodologies, and intellectual property developed or provided by SellersHQ remain our exclusive property.

Your IP: You retain all rights to your company's intellectual property, including product information, brand assets, and proprietary data.

License: You grant us a limited license to use your intellectual property solely for the purpose of delivering our services to you.

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of our business relationship.

Confidential information includes, but is not limited to:

• Business strategies and plans
• Customer and prospect information
• Financial information
• Proprietary methodologies and processes
• Trade secrets and technical data

To the maximum extent permitted by law, SellersHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of business opportunities
• Loss of data or information
• Cost of procurement of substitute services

Our total liability for any claims arising from our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.

Either party may terminate the service agreement with written notice as specified in your Service Agreement, typically 30-60 days.

We reserve the right to immediately suspend or terminate services if:

• You breach these Terms or your Service Agreement
• Payment obligations are not met
• Your actions harm our reputation or business
• Legal or regulatory requirements necessitate termination

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through arbitration in Lagos, Nigeria, or as otherwise agreed upon in writing.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through our website.

Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
